Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and GROUNDSENSE, entrepreneur individuel (SIRET 98263335600018), France ("we", "us") — governing your use of the PassPrediction service. By creating an account or using the service you accept these Terms. If you are a consumer, you keep all mandatory rights granted by French and EU law, which these Terms do not limit.

1. Acceptance and the parties

These Terms apply to everyone who accesses PassPrediction, whether as a free, registered, or paying user. If you use the service on behalf of an organisation, you confirm you are authorised to bind it. If you do not accept these Terms, do not use the service.

2. The service and accuracy disclaimer

PassPrediction provides satellite pass prediction, tasking simulation, and related analytics from public orbital data. Results are estimates for planning purposes only. They are not guaranteed and must not be relied upon for safety-of-life, navigation, emergency, or real-time operational decisions. Orbital data and third-party inputs may be incomplete or delayed.

3. Acceptable use

You agree not to: use the service unlawfully or in breach of export-control or sanctions rules; reverse-engineer, scrape, or bulk-extract the catalogue beyond the provided API; resell or redistribute the data or the TLE database as a standalone product; overload, probe, or disrupt the service; or infringe the rights of others. We may suspend access for breach.

4. Accounts and eligibility

You must provide accurate registration details and keep your credentials secure. You are responsible for activity under your account. You must be at least 16 years old, or the age of digital consent in your country. We may verify your email before granting access.

5. Privacy and data protection

We process personal data as described in our Privacy Policy and Cookie Policy, and we publish the third parties that may process data on our behalf in our Sub-processors list. By using the service you acknowledge that processing.

6. Intellectual property

The PassPrediction software, interface, branding, and original content are owned by us and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable right to use the service under these Terms. Third-party data and open-source components are credited on our Attributions page and remain the property of their owners. You keep ownership of the areas of interest and inputs you create.

7. Plans, credits and payment

The service offers a free tier, optional plans that unlock features, and prepaid compute credits, priced in EUR or USD as shown at purchase. Credits are the single budget for every tool, in the app and through the API alike; there is no separate API allowance. Registered users receive a free daily credit grant that resets each day and does not accumulate. Plans unlock features and do not grant credits. Purchased credits never expire. Payments are handled by our third-party payment provider acting as merchant of record, which is the seller of record and collects any applicable taxes.

8. Credits are non-refundable

All credit purchases made within the app are non-refundable and non-transferable under any circumstances. Once acquired, credits hold no monetary value and cannot be exchanged or redeemed for cash, partial refunds, or credit notes, even if your account is closed, terminated, or if unused credits remain upon plan cancellation. You may cancel a plan at any time; it stays active until the end of the paid period and is not pro-rated. EU consumers: by starting to use the service or credits immediately, you expressly request immediate performance and acknowledge that you thereby lose your 14-day right of withdrawal for the part performed, under article L221-28 of the French Consumer Code.

9. Warranties — "as is"

The service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that results will meet your requirements. Mandatory consumer guarantees under French law are not excluded.

10. Limitation of liability

To the extent permitted by law, our total liability arising from the service is limited to the greater of the fees you paid in the 12 months before the event or EUR 100. We are not liable for indirect or consequential loss, lost profits, or loss of data. Nothing here excludes liability that cannot be excluded by law, including a consumer's mandatory rights.

11. Suspension and termination

You may stop using the service and delete your account at any time. We may suspend or terminate access for breach of these Terms, unlawful use, or risk to the service, giving notice where reasonable. Provisions that by their nature should survive — intellectual property, liability, and payment due — survive termination.

12. Consumer mediation and dispute resolution

If you are a consumer and a dispute is not resolved after contacting us, you may refer it free of charge to an approved consumer mediator (médiateur de la consommation): [mediator name and website — to be appointed]. The European Commission also provides an online dispute-resolution platform at https://ec.europa.eu/consumers/odr.

13. Governing law and jurisdiction

These Terms are governed by French law. If you are a consumer, you also benefit from the mandatory protections of the country where you live and may bring proceedings in your local courts. If you use the service as a professional, the courts of the publisher's registered office (France) have exclusive jurisdiction, except where the law provides otherwise.

15. Model outputs — no operator capacity or commitment

All predictions, pass opportunities, tasking, paving and recurring simulations, coverage, revisit, latency and related outputs provided through the Service are computational model outputs. They are generated from publicly available orbital data (two-line element sets) and nominal, published or estimated sensor parameters, and are provided for planning and informational purposes only. Such outputs are estimates and do not represent, guarantee or reflect the actual imaging capacity, availability, tasking priority, scheduling, feasibility or commitment of any satellite operator or imagery provider. PassPrediction is an independent service and is not affiliated with, endorsed by, sponsored by, or acting on behalf of any satellite operator or imagery provider. No output constitutes an offer, reservation, booking or confirmation of image tasking, acquisition or delivery. Any actual imagery order, tasking or acquisition is subject entirely to the terms, availability and discretion of the relevant operator or provider, and you are solely responsible for verifying feasibility and commitments directly with them before relying on any output.

16. Prediction accuracy and orbital-data currency

Prediction timing accuracy depends on the age and quality of the publicly available orbital data (two-line element sets, TLE) that the Service propagates using the SGP4 model. Pass geometry — off-nadir angle, sun elevation and look direction — is generally representative, but the exact date and time of a predicted pass can drift, from minutes up to several days, when a satellite's public TLE is not current. This is most pronounced for recently launched or actively manoeuvring satellites, whose published elements lag the operator's own orbit determination. All outputs are a planning aid only and must not be relied upon as the sole basis for any acquisition or tasking commitment; you are solely responsible for confirming timing and feasibility against the relevant operator's ephemeris or schedule before relying on any output.
